M&A support

Renewable energy assets trade on details that generalist processes miss: interconnection queue position, offtake assignment rights, site control chains, tax-credit eligibility. The principal has originated, negotiated, closed transactions, and supported diligence on over 3 GW of project acquisitions and sales; that diligence depth is the service. Brixton Infrastructure supports buy-side and sell-side transactions, from sourcing opportunities through due diligence and execution.

What we do

Buy-side, sell-side, and standalone diligence.

Sell-side support

Prepare the asset for scrutiny before a buyer applies it: organize the development record and data room; identify and approach qualified buyers; manage the process calendar; support negotiation of price and terms through close.

Buy-side support

Source and screen opportunities against your investment criteria; run commercial diligence on interconnection, offtake, real estate, and permitting; support valuation judgment with market evidence; negotiate alongside your counsel through close.

Diligence support

Standalone engagements for acquirers and their lenders: queue position quality, PPA change-of-control and assignment provisions, site control completeness, and the distance between a pro forma and a buildable project.

Valuation support

We benchmark transactions against comparable deal activity, prevailing PPA and REC pricing trends, and interconnection queue dynamics, and conduct deep diligence on project-level fundamentals: resource quality, offtake structure, equipment technology, permitting status, and regulatory exposure. This dual lens shows our clients what the market is paying and whether that price reflects true asset value.

Who it's for

Developers, and the capital behind them.

  • Developers selling projects or platforms, at notice-to-proceed or earlier, who need the asset organized for scrutiny and a process run to a calendar.
  • Capital providers acquiring development-stage or operating assets, where the commercial diligence has to reach the depth of the development record itself.
  • Corporates & data centers acquiring generation directly rather than contracting for it through a PPA, and needing the same diligence a fund would run.

Worked example

Where transactions break.

Across over 3 GW of acquisitions and sales, the failure points repeat. Interconnection positions that are earlier in the queue on paper than in practice; offtake contracts whose change-of-control provisions hand the counterparty a consent right nobody priced; site control that covers the array but not the gen-tie route. Each of these surfaces only when the documents are read against the physical project, line by line.

The principal has also secured over 1,000 MW of site control for solar and energy storage development, and reads a site control package the way the developer who assembled it would. Gaps surface while they can still be priced.

Discuss your transaction

Start with a 30-minute conversation.

30 minutes on the asset or process you are weighing, on either side of the transaction; the first conversation establishes whether and where we can help.
